These Terms of Service (“Terms”) are a binding agreement between you and Okee Technologies, Inc. (“Okee,” “we,” “us”), a Delaware corporation with its principal place of business in Texas. By creating an Okee account, submitting a job request, accepting a job, or otherwise using the Okee website or apps, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Okee.
1. What Okee is
Okee is a two-sided marketplace that connects homeowners in the greater Houston, Texas area with independent home-service contractors. Okee is a platform, not a service provider. We do not perform, supervise, or physically inspect the work that contractors do at your property. We provide the software, the dispatch, the payment rails, and the trust and safety systems that keep the marketplace usable.
2. Contractors are independent
Every contractor on Okee is an independent business or independent contractor. Contractors are not employees, agents, partners, joint venturers, franchisees, or representatives of Okee. Okee does not control the means or methods by which contractors perform work, does not set the prices they charge for materials or labor beyond the marketplace pricing structure, and does not direct the day-to-day operation of their businesses. Any contract for the work itself is between the homeowner and the contractor.
3. What Okee guarantees, and what it doesn’t
Okee guarantees a confirmed appointment: when your job request is accepted, an identified contractor has agreed to arrive within the stated window, and Okee’s dispatch and trust-and-safety systems will monitor the appointment through completion. If a confirmed appointment falls through because the contractor cancels or fails to arrive, Okee will attempt to rematch you at no additional dispatch cost; if we cannot rematch within a reasonable window, we will release any card hold associated with that dispatch.
Okee does notguarantee the workmanship, quality, safety, timeliness, legality, or price of any service performed by a contractor, nor the accuracy of any statement, promise, or estimate a contractor makes to you. Verification of a contractor’s licensing and insurance confirms only that Okee received documents matching the required categories at the time of onboarding — it is not a warranty of current status, workmanship, or fitness for any particular job.
4. Payments and card holds
When you submit a job request, Okee may place a temporary authorization hold on the payment method you provide. The hold reserves funds sufficient to cover the dispatch and a portion of the anticipated job cost; it is not a charge. If the job is completed and the contractor invoices you through Okee, the actual amount charged will replace the hold and reflect the completed work. If the job does not proceed (contractor cannot be matched, homeowner cancels within the allowed window, etc.), the hold will be released according to the schedule of the card network, typically within a few business days.
Payments are processed by Stripe. By providing a payment method you authorize Okee and Stripe to charge that method for amounts you owe under these Terms.
5. Cancellations, no-shows, and disputes
Homeowners may cancel a request without charge before a contractor has been dispatched. Cancellations after dispatch may incur a fee to compensate the contractor for travel time. Contractor no-shows are handled under Section 3 above.
Disputes about the workmanship, price, or scope of a completed job are between the homeowner and the contractor. Okee may, in its sole discretion, assist by facilitating communication, holding disputed funds pending resolution, issuing partial or full refunds where our trust-and-safety review supports it, and pursuing recovery from the contractor. Okee is not obligated to mediate, arbitrate, or resolve any such dispute.
6. Account rules and enforcement
You must be at least 18 years old and legally able to enter into a contract to use Okee. You must provide accurate information, keep your account secure, and use the service only for its intended purpose. You may not: harass or threaten other users; submit false or malicious job requests or reports; solicit contractors to complete jobs off-platform to avoid Okee fees; misrepresent your identity, licensing, or insurance; attempt to reverse-engineer or interfere with the service; or use Okee in violation of any law.
Okee uses a strikes-based enforcement system. Depending on severity, we may issue a warning, restrict certain features, temporarily suspend an account, or terminate an account. Serious violations (violence, fraud, off-platform solicitation, false safety reports, misrepresentation of licensing) can result in immediate termination without prior warning. Okee’s enforcement decisions are final. Further detail lives in our Acceptable Use Policy.
7. License to use Okee
Subject to your compliance with these Terms, Okee grants you a limited, non-exclusive, non-transferable, revocable license to use the Okee website and apps for your personal or, if you are a contractor, business use of the marketplace. All intellectual property in Okee — the software, brand, name, and content — belongs to Okee. You may not copy, modify, distribute, or create derivative works from it.
8. Disclaimers
OKEE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKEE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. Okee does not warrant that the service will be uninterrupted, secure, or error-free, or that any contractor will perform to your satisfaction.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OKEE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OKEE. OKEE’S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO OKEE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.
10. Indemnification
You agree to indemnify, defend, and hold harmless Okee and its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of your use of Okee, your violation of these Terms, your violation of any law, or your infringement of any third-party right. If you are a contractor, this includes any claim arising from the work you perform for a homeowner matched through Okee.
11. Governing law and arbitration
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the service shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Harris County, Texas. You and Okee each waive the right to a jury trial and the right to participate in a class action, consolidated action, or representative action. Notwithstanding the foregoing, either party may bring an individual action in small-claims court for claims within its jurisdiction, and either party may seek injunctive relief in court to prevent the misuse of intellectual property.
12. Changes to these terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date and, where required, additional notice by email or in-app. Continued use of Okee after an update constitutes acceptance of the revised Terms.
13. SMS messaging program
Okee operates an SMS text-messaging program, Okee Pro Alerts, that sends transactional job alerts and account notifications to service professionals (contractors), and one-time verification codes and arrival notices to homeowners. Message frequency varies. Message and data rates may apply. For help, reply HELP to any Okee message or contact support@getokee.com. To opt out, reply STOP to any Okee message; you will receive one confirmation that you have been unsubscribed and no further messages, and you can reply START to resume.
